Who You Are:

A seasoned corporate governance professional looking to join our Legal Department and Office of the Corporate Secretary. This is an excellent opportunity to work in a senior governance role while working closely with the Corporate Secretary and Board of Directors of a dynamic public company. 

What You’ll Do:

Assist the Corporate Secretary with:

1. Entity Management & Authorized Signatories

  • Manage entity formation, matrix or database and documents
  • Maintain legal entities including registrations and filings where required
  • Manage authorized signatories
  • Respond to request for entity documents
  • Coordinate notary/apostille for documentation related to entity onboarding or similar matter

2. Board and committee management and organization

  • Work closely with the Deputy General Counsel and Corporate Secretary to develop, maintain, and revise Board and committee agendas, consistent with corporate requirements and organizational documents
  • Assist in management committee organization and record keeping
  • Plan, attend, and take minutes for board and management committees
  • Participate in director/management governance matters, including review and updating of Corporate Governance Guidelines, committee charters, articles and bylaws of all entities
  • Prepare board/committee resolutions, consents and secretary certifications
  • Maintain the corporate and Board records
  • Prepare and distribute director and officer questionnaires
  • Assist with director onboarding and orientation

3. Coordinate insider filings

  • Track insider equity ownership for reporting purposes
  • File Canadian SEDI or SEC Section 16 insider transaction reports
  • Contribute to proxy statement preparation for sections related to governance, directors, and beneficial ownership


4. Support Equity/Shareholder Relations

  • Interact with transfer agent on stock issuances and recordkeeping
  • Work on delegending and registration rights


What We’re Looking For:

The ideal candidate will be highly organized, have meticulous attention to detail and accuracy, and a demonstrated ability to produce high quality work products in a fast-paced environment.

  • 8-10 years’ experience
  • Experience with public companies
  • A high level of professionalism and outstanding business judgment
  • Excellent written and oral communication skills
  • Meticulous attention to detail and strong organizational skills
